How does the Mercedes me Adapter work?

The Mercedes me Adapter is inserted into the diagnostics interface (the so-called “OBD2 connector”) of your vehicle. This interface allows the Mercedes me Adapter to read vehicle data and send them to your personal smartphone via Bluetooth®. This gives you the possibility to access these data with the Mercedes me Adapter app and use all functionalities. You access your personalized world of Mercedes-Benz through the Mercedes me portal.

How to set up your personal access to your Mercedes-Benz vehicle:

Step 1: Checking the prerequisites

You can obtain the Mercedes me Adapter at your preferred Mercedes-Benz Service partner, who will activate the service for you and will be glad to help you set it up. Check first whether your vehicle is compatible with the Mercedes me Adapter. (List of compatible Mercedes-Benz vehicles) You also need a smartphone on which the Mercedes me Adapter app can be installed. You'll find the necessary requirements and the links to the app stores here. Install the Mercedes me Adapter app on your smartphone. Sign in to your personal Mercedes me user account. If you don't have an account yet, you can register here free of charge. Please remember to accept the terms of use of the Mercedes me Adapter. (You will find them in your personal account at the Mercedes me Portal under Profile > Terms of Use > Terms of Use for Mercedes me Adapter services)

If these requirements are met, you can have your Mercedes-Benz Service partner link your vehicle to your Mercedes me user account.

Step 2: Connecting the adapter and coupling via Bluetooth®

Insert the adapter into the diagnostics interface ('OBD2 socket') of your vehicle. (see illustration) If necessary, you can attach the lid to the adapter using the enclosed Velcro sticker. The red LED on the adapter now starts to flash. You now have three minutes to connect your smartphone with the adapter via Bluetooth®. To do so, look for the device named 'MB....' in the Bluetooth® menu of your smartphone. Once your vehicle is linked with the adapter, the LED will turn a steady blue. Repeat the process if you are unable to complete it in the 3 minutes alloted.

Step 3: Starting up the adapter by means of the app

Now start the app on your smartphone, sign in to your Mercedes me user account if you're not already signed in and select 'Add new vehicle.' Please make sure you have a stable Internet connection. If you have already created a vehicle in the app, activate 'My Vehicle' and select 'Add another vehicle.' After prompted to do so by the app, start the engine of your vehicle for the remainder of the installation. The vehicle data will now be determined and verified, and your preferred service partner which you specified at the Mercedes me portal will also be adopted in the the app. Follow the instructions in the app to complete the startup process. After prompted to do so by the app, stop the engine again and confirm the completion of the startup.

Your vehicle has now been created successfully and you can use all functions of the Mercedes me Adapter.

Depending on the vehicle model, the diagnostics interface ('OBD2 socket') is located in different positions in the footwell of your vehicle.

Which of my data are sent to Daimler AG?

The following data are transmitted to the systems of Daimler AG: Vehicle identification number, odometer reading, tank fill level, remaining range, workshop and service code, ignition status, version number of control unit, where applicable. The transmission of the data is required to provide you or your co-users with the current vehicle status and be able to make you fitting maintenance offers. Daimler AG does not create movement profiles based on the transmitted data. Position data (if available) are only transmitted if you call customer support in the case of an accident or breakdown. Personal data such as the list of trips or refueling stops are stored solely on your smartphone and are not transmitted to the Daimler systems.

Why am I unable to see the live data of my adapter vehicle on the Mercedes me portal?

The data read from your vehicle via the Mercedes me Adapter or information you store are not synchronized with the Mercedes me portal. You can see these data in the Mercedes me Adapter app.

Can I use a Mercedes me Adapter in several vehicles?

A Mercedes me Adapter can be used in several compatible vehicles. Prerequisite is your authorized Mercedes-Benz dealer linking the vehicle to your Mercedes me account. The initial start-up must be performed each time the adapter is inserted into a different vehicle.

I have already created a Mercedes me user account. Can I use it for the Mercedes me Adapter?

Yes, you can use your Mercedes me user account for the Mercedes me Adapter.

Are my data secure?

We already take data privacy into account during the design of connected services and our systems and services have been designed to account for the toughest data protection requirements from the start.

The car of the future is increasingly turning into a digital companion, which at the same time means that it must not only offer road safety and safe operation, but also data security.

Daimler AG does not create movement profiles in connection with the Mercedes me services. We comply with all applicable law regarding data privacy and even access by public authorities is only possible as permitted by law.

In addition, the processing of personal data at Daimler is governed by a 'Group Directive on Data Privacy for Customer and Partner Data,' which is based on globally accepted basic principles and ensures a globally valid standard for data privacy and data security.

Personal data are recorded and also created as part of the Mercedes me services. This is done on the basis of contractual arrangements or customer consent. The recorded data are stored in encrypted form. Moreover, customers are able to deactivate their Mercedes me Adapter services at any time.

What is the Mercedes me Adapter?

The Mercedes me Adapter consists of hardware and software. The hardware, the Mercedes me Adapter, is inserted into the diagnostics interface (so-called 'OBD2 connector') of the vehicle and then paired with the smartphone via Bluetooth®. This allows reading various data from the vehicle. Based on this data, various safety, service and mobility functionalities can be used via the Mercedes me Adapter app.

Is my vehicle protected against unauthorized access from the web?

We use technical and organizational security measures to protect the data of the users against manipulation, loss, destruction and access by unauthorized persons. The security measures are improved continually in step with the technological development.

What advantages does the Mercedes me Adapter offer over other competitor products?

The Mercedes me Adapter is an accessories component certified and approved by Daimler AG (including in crash tests and tests of electromagnetic compatibility). It offers you the highest safety standard opposite third-party products. As a result, risks of damage to the vehicle and a loss of warranty by using the adapter are precluded.

The Mercedes me Adapter enables the integration of many model series of model year 2002 and newer into the connected world of Mercedes me. The Mercedes me Adapter now makes precisely this possible for vehicles yet to be connected.

I installed the Mercedes me Adapter app but am unable to use all the functions.

After installing the Mercedes me Adapter app you can already use a few limited functions. To use all functions of the app, you have to get and start up an adapter. To get an adapter, please contact your participating authorized Mercedes-Benz dealer.

What volume of data do the functions of the Mercedes me Adapter app require?

After every completed trip, a data packet is sent to the systems of Daimler AG. The size of this data packet is very small. All in all, this results in only a few megabytes per month at most.

I am having trouble starting up the adapter of my vehicle. What can I do?

First ensure that the Bluetooth ® pairing with the Mercedes me Adapter was successful and that your smartphone is connected to adapter MB-xxxx. The Bluetooth® function of your smartphone must be turned on. The Mercedes me Adapter must be in range. In addition, an Internet connection is required for the startup. Should you nonetheless have problems starting the app, please contact our customer support.

Why am I asked to start up the adapter again when starting the Mercedes me Adapter app?

When the Mercedes me Adapter was unplugged, it must be started up again. If you uninstalled the app or are using it now on a different smartphone, it is also necessary to start up the adapter again.

I am unable to merge one or more trips. What could be the cause?

If it is impossible to merge one or more trips, the reason might be that there are gaps between these trips. Two trips can only be merged if the odometer reading at the end if the first recorded trip is identical to the odometer reading at the start of the next trip. It is also not possible to combine private and business trips.

Can merged trips be split into separate trips again?

No, merged trips cannot be split back into separate trips.

Is the exported CSV file a legally valid driver's logbook?

The CSV file exported under the function 'My Journeys' may be incomplete and is therefore not a legally valid driver's logbook. But the table may be used as the basis for a driver's logbook.

The names of places and the route of the individual trips are not displayed or are missing. My parking location could not be determined.

First check the settings of the app. This is where you can specify whether and for what functions the app is authorized to pinpoint your position. The positioning feature should be switched on for the functions 'Parking and Locating,' 'Refueling' and 'My Journeys.' Furthermore, the positioning feature may be switched off completely or just for this app on the smartphone.

Another reason for the missing readouts: You were somewhere where pinpointing the position was not possible when you started or ended the trip. For example, in an underground parking garage.

There are gaps in the list of trips. What could be the cause?

No trips are recorded if the vehicle is moved without the inserted Mercedes me Adapter or when there is no connection with the smartphone, e.g. if Bluetooth® was deactivated. This can result in gaps in the list of recorded trips.

Why do I have to manually enter the amount of fuel added for some refueling stops?

As soon as the tank of your vehicle is on reserve, it is no longer possible to determine the exact tank fill level. That is why the amount of fuel added must be entered manually in these cases.

Why is there no position shown on the map for manually recorded refueling stops?

The position entered for manually created refueling stops is not shown on the map because not only addresses can be entered into the position field. You can also enter, e.g. 'on the way to work' there.

Apart from the Mercedes me Adapter app, there is another app of Mercedes me, what's the difference?

The Mercedes me Adapter app is the only app for use with the Mercedes me Adapter, other apps of Mercedes me pertain to already connected vehicles and are not compatible with the adapter. The apps' scope of functions is basically similar (for example, with regard to the display of vehicle data or the parked vehicle locator function), but the Mercedes me Adapter app also includes the functions 'My Journeys' (automatic list of trips) and 'Refueling' (automatic list of refueling stops) in addition. Some functions of other apps of Mercedes me, such as unlocking/locking the doors, are not available in the Mercedes me Adapter app. The basic difference between the Mercedes me Adapter and the connected Mercedes me connect vehicles is that the adapter communicates with the smartphone via Bluetooth® and does not use its own SIM card. When the ignition of the vehicle is switched off, the adapter is inactive and remote services such as the unlocking and locking of doors or programming the auxiliary heater are therefore not available.

What happens with regard to the app's transmission of data when traveling abroad?

When traveling abroad, all functions of the adapter can be used if the data roaming feature is active, i.e. the usual data roaming fees may apply. But the adapter can also be used without an Internet connection. However, this may result in limited functionality, e.g. GPS coordinates cannot be translated into address data.

Why does a message appear on my smartphone indicating that the Adapter app is attempting to communicate with the Mercedes me Adapter? What will happen if I don't acknowledge the message?

On iPhones this message appears every time a Bluetooth device attempts to communicate with the smartphone (hands-free devices are an exception here). If the app is already active on the telephone (in the foreground or background), the Adapter will establish a link, even if this message is not acknowledged. However, if the app has previously been actively terminated (e.g. by 'swiping off') or the telephone has been restarted, the message must be acknowledged in order for the app to be activated and communication with the adapter to be established. This is necessary in order for journeys to be recorded on a regular basis.

When installing the app I am asked whether I wish to permit the acquisition of usage data. For what purpose are these data used?

We analyse app usage data (using Adobe Marketing Cloud) in order to identify preferences and to enable ongoing development of the app. In this way, the app can be adapted more effectively to users' needs, thus improving the functionality. If you do not wish information on use of the app to be stored and analysed, this function can be deactivated and subsequently re-activated under App settings > Usage data collection.

Can I use the Mercedes me Adapter in other model series or in vehicles from other manufacturers?

The Mercedes me Adapter is only compatible with the approved model series from Mercedes-Benz.

Can I use an adapter other than the Mercedes me Adapter?

Can my vehicle be damaged by the use of the Mercedes me Adapter? What happens when I install the adapter in the vehicle?

The Mercedes me Adapter is an accessories component for the approved model series certified and approved by Daimler AG (including in crash tests and tests of electromagnetic compatibility). When the Mercedes me Adapter is connected to the diagnostics interface (so-called 'OBD2 socket'), it is always ensured that

  • there are no functional impairments of vehicle systems,
  • the starter battery cannot be discharged,
  • no exhaust emission monitoring data are reset.

You'll find a supplement to your owner's manual in the box of the Mercedes me Adapter. Please keep this letter with your owner's manual.

Can I use the Mercedes me Adapter also without the smartphone app?

The use of the Mercedes me Adapter requires the installation of the Mercedes me Adapter app on your smartphone and the adapter must have been started up.

Can I remove the Mercedes me Adapter after use safely?

Yes, that is possible. However, please make sure the ignition of the vehicle is switched off.

Can I also buy the adapter online?

You can get the Mercedes me Adapter only at your participating authorized Mercedes-Benz dealer.

What happens if the adapter is no longer inserted, for example after a workshop visit or the general inspection?

Please start up the Mercedes me Adapter again. The startup process is an abbreviated process and you will be able to quickly use the adapter again as usual.

Questions about the shared use of the Mercedes me Adapter

I would like to let other people use the Mercedes me Adapter in my vehicle. Is that possible?

As the primary user of a vehicle with Mercedes me Adapter, you can use the co-user administration feature to invite others to become co-users of this vehicle. To do so, follow these simple steps:

Access the Mercedes me portal, click on 'My Vehicles' and select the particular vehicle. Click on 'Edit co-users' in the section 'Mercedes me connect.' The function 'Invite co-users' allows you to send an invite by entering an e-mail address. You and the person you invited will be informed by e-mail. The invited co-user can accept the invite by clicking on the corresponding link in the e-mail.

The co-user user now has to perform another startup of the adapter with his or her own smartphone. This requires the adapter to be unplugged and reinserted. The adapter can then be started up with the function 'Add new vehicle' in the Mercedes me Adapter app.

After the co-user has completed these steps, he or she will also be able to use the Mercedes me Adapter with your vehicle.

Only the primary user is able to invite co-users.

What does the co-user of the Mercedes me Adapter have to do to use it also?

The primary user must invite the co-user. The invited co-user has to accept the invite via the link in the e-mail he or she receives. The co-user also needs a Mercedes me user account and has to download the Mercedes me Adapter app from the Apple App Store or Google Play.

One Mercedes me Adapter per vehicle is enough for several users.

The co-user also has to start up the adapter to be able to use it. This requires the Mercedes me Adapter to be unplugged and reinserted to pair the smartphone of the co-user with the adapter. The vehicle can then be added in the app under 'Add new vehicle.'

What rights does my co-user have?

Co-users can use all functions of the Mercedes me Adapter app. Their personal data (e.g. list of trips) are stored only their smartphone and cannot be transferred. Receiving offers for maintenance is reserved for the primary user. The same is true for inviting other co-users and for activating or deactivating the service.

What data are synchronized among the users of the Mercedes me Adapter?

At the end of a trip, the vehicle data displayed on the 'My Vehicle' page are stored in the back end and exchanged between the users.

The contents of 'Parking & Locating,' 'Refueling' and 'My Journeys' are not synced. Especially the determined position data are stored only locally on the smartphone on which they were recorded.

Safety messages.

Information about the use of the Mercedes me Adapter

When you connect the Mercedes me Adapter to the diagnostics interface, it is always ensured that

  • there are no functional impairments of vehicle systems,
  • the starter battery cannot be discharged,
  • no exhaust emission monitoring data are reset.

The Mercedes me Adapter may only be used in vehicles approved by Mercedes-Benz with the supported smartphones and operating systems. (Please see the section on 'Technical requirements' for details.)

The Mercedes me Adapter was developed for permanent use in the appropriate diagnostics interface and should be kept inserted.

Please comply with the laws in your country governing the use of smartphones in the vehicle while driving.

Any alteration or modification of the Mercedes me Adapter impairs the production safety and may impact your vehicle. Caution: Risk of injury!

Never open the Mercedes me Adapter yourself. Never perform any repairs yourself!

Handle the Mercedes me Adapter with care. It can be damaged by impact, shock or fall even from a low height

Keep the Mercedes me Adapter away from moisture and extreme heat.

Never submerge the Mercedes me Adapter in water or other liquids. Use only a cloth moistened with water to clean the unit. Never use any aggressive cleaning products (vinegar/lemon cleaners, scouring agents, calcium or nail polish removers, all-purpose cleaners, neutral cleaners, denaturated alcohol, oily natural cleaners and comparable agents) or coarse brushes or sponges or similar tools for cleaning.

Keep your Mercedes me Adapter and its accessories out of the reach of children. Seek immediate medical attention if small parts have been swallowed. There is a risk of injury and even death!

Have your smartphone checked for proper operation if you find it generates an excessive amount of heat. If the problems persist, please stop the app from running on your smartphone and contact your smartphone manufacturer.

Store or fix the smartphone securely before every trip. Please note that unsecured items such as smartphones may entail significant risks of injury and damages to occupants and other road users in the event of a sudden deceleration (braking).

People wearing hearing aids or other devices labeled BAHA® ('Bone-Anchored Hearing Aid'), a partially implanted' or 'fully implanted' hearing aid, may experience increased static noise. Please contact the manufacturer of your hearing aid to discuss alternatives.

People wearing medical devices, e.g pacemakers or defibrillators When you use the Mercedes me Adapter, there is a wireless connection between your smartphone and the adapter. The electromagnetic radiation may affect the function of a medical device. There is a risk of death! Make sure to talk to your doctor or the manufacturer of your medical device about the potential effects of the Mercedes me Adapter emissions before operating the Mercedes me Adapter.

There is a strict cellphone ban at gas stations. There is a risk of explosion because the battery may be ejected from a dropped cellphone and these sparks may ignite the gasoline fumes. Removing or inserting the Mercedes me Adapter in refueling areas is prohibited.

Please do not attempt to reengineer the software and refrain from any logging, decompiling and code manipulations regarding the Mercedes me Adapter and the app. Risk of injury!

Jailbroken smartphones (unauthorized removal of the restrictions of use of the smartphone manufacturers' mobile operating systems) are not supported and are excluded from use in general.

Software License Agreement MICROCHIP IS WILLING TO LICENSE THE ACCOMPANYING SOFTWARE AND DOCUMENTATION TO YOU ONLY ON THE CONDITION THAT YOU ACCEPT ALL OF THE FOLLOWING TERMS. NON-EXCLUSIVE SOFTWARE LICENSE AGREEMENT This Nonexclusive Software License Agreement ('Agreement') is a contract between you, your heirs, successors and assigns ('Licensee') and Microchip Technology Incorporated, a Delaware corporation, with a principal place of business at 2355 W. Chandler Blvd., Chandler, AZ 85224-6199, and its subsidiary, Microchip Technology (Barbados) II Incorporated (collectively, 'Microchip') for the accompanying Microchip software including, but not limited to, '16-bit CPU Self-Test Library', and/or any PC programs, and any updates thereto (collectively, the 'Software'), and accompanying documentation, including images and any other graphic resources provided by Microchip ('Documentation'). 1. Definitions. As used in this Agreement, the following capitalized terms will have the meanings defined below: a. 'Microchip Products' means Microchip digital signal controllers. b. 'Licensee Products' means Licensee products that use or incorporate Microchip Products. c. 'Object Code' means the Software computer programming code that is in binary form (including related documentation, if any), and error corrections, improvements, modifications, and updates. d. 'Source Code' means the Software computer programming code that may be printed out or displayed in human readable form (including related programmer comments and documentation, if any), and error corrections, improvements, modifications, and updates. e. 'Third Party' means Licensee’s agents, representatives, consultants, clients, customers, or contract manufacturers. f. 'Third Party Products' means Third Party products that use or incorporate Microchip Products. 2. Software License Grant. Subject to the terms of this Agreement, Microchip grants strictly to Licensee a non-exclusive, non-transferable, worldwide license to: a. use the Software in connection with Licensee Products and/or Third Party Products; b. if Source Code is provided, modify the Software, provided that no Open Source Components (defined in Section 5 below) are incorporated into such Software in such a way that would affect Microchip’s right to distribute the Software with the limitations set forth herein and provided that Licensee clearly notifies Third Parties regarding such modifications; c. distribute the Software to Third Parties for use in Third Party Products, so long as such Third Party agrees to be bound by this Agreement (in writing or by 'click to accept') and this Agreement accompanies such distribution; and d. sublicense to a Third Party to use the Software, so long as such Third Party agrees to be bound by this Agreement (in writing or by 'click to accept'). 3. Documentation License Grant. Microchip grants strictly to Licensee a non-exclusive, non-transferable, worldwide license to use the Documentation in support of Licensee's authorized use of the Software 4. Third Party Requirements. Licensee acknowledges that it is Licensee’s responsibility to comply with any third party license terms or requirements applicable to the use of such third party software, specifications, systems, or tools. Microchip is not responsible and will not be held responsible in any manner for Licensee’s failure to comply with such applicable terms or requirements. 5. Open Source Components. Notwithstanding the license grant in Section 1 above, Licensee further acknowledges that certain components of the Software may be covered by so-called 'open source' software licenses ('Open Source Components'). Open Source Components means any software licenses approved as open source licenses by the Open Source Initiative or any substantially similar licenses, including without limitation any license that, as a condition of distribution of the software licensed under such license, requires that the distributor make the software available in source code format. To the extent required by the licenses covering Open Source Components, the terms of such license will apply in lieu of the terms of this Agreement. To the extent the terms of the licenses applicable to Open Source Components prohibit any of the restrictions in this Agreement with respect to such Open Source Components, such restrictions will not apply to such Open Source Component. 6. Licensee Obligations. Licensee will not: (i) engage in unauthorized use, modification, disclosure or distribution of Software or Documentation, or its derivatives; (ii) use all or any portion of the Software, Documentation, or its derivatives except in conjunction with Microchip Products or Third Party Products; or (iii) reverse engineer (by disassembly, decompilation or otherwise) Software or any portion thereof. Licensee may not remove or alter any Microchip copyright or other proprietary rights notice posted in any portion of the Software or Documentation. Licensee will defend, indemnify and hold Microchip and its subsidiaries harmless from and against any and all claims, costs, damages, expenses (including reasonable attorney's fees), liabilities, and losses, including without limitation product liability claims, directly or indirectly arising from or related to the use, modification, disclosure or distribution of the Software, Documentation, or any intellectual property rights related thereto; (ii) the use, sale and distribution of Licensee Products or Third Party Products; and (iii) breach of this Agreement. 7. Confidentiality. Licensee agrees that the Software (including but not limited to the Source Code, Object Code and library files) and its derivatives, Documentation and underlying inventions, algorithms, know-how and ideas relating to the Software and the Documentation are proprietary information belonging to Microchip and its licensors ('Proprietary Information'). Except as expressly and unambiguously allowed herein, Licensee will hold in confidence and not use or disclose any Proprietary Information and will similarly bind its employees and Third Party(ies) in writing. Proprietary Information will not include information that: (i) is in or enters the public domain without breach of this Agreement and through no fault of the receiving party; (ii) the receiving party was legally in possession of prior to receiving it; (iii) the receiving party can demonstrate was developed by the receiving party independently and without use of or reference to the disclosing party's Proprietary Information; or (iv) the receiving party receives from a third party without restriction on disclosure. If Licensee is required to disclose Proprietary Information by law, court order, or government agency, License will give Microchip prompt notice of such requirement in order to allow Microchip to object or limit such disclosure. Licensee agrees that the provisions of this Agreement regarding unauthorized use and nondisclosure of the Software, Documentation and related Proprietary Rights are necessary to protect the legitimate business interests of Microchip and its licensors and that monetary damage alone cannot adequately compensate Microchip or its licensors if such provisions are violated. Licensee, therefore, agrees that if Microchip alleges that Licensee or Third Party has breached or violated such provision then Microchip will have the right to injunctive relief, without the requirement for the posting of a bond, in addition to all other remedies at law or in equity. 8. Ownership of Proprietary Rights. Microchip and its licensors retain all right, title and interest in and to the Software and Documentation including, but not limited to all patent, copyright, trade secret and other intellectual property rights in the Software, Documentation, and underlying technology and all copies and derivative works thereof (by whomever produced). Licensee and Third Party use of such modifications and derivatives is limited to the license rights described in Sections this Agreement. 9. Termination of Agreement. Without prejudice to any other rights, this Agreement terminates immediately, without notice by Microchip, upon a failure by Licensee or Third Party to comply with any provision of this Agreement. Upon termination, Licensee and Third Party will immediately stop using the Software, Documentation, and derivatives thereof, and immediately destroy all such copies. 10. Warranty Disclaimers. THE SOFTWARE AND DOCUMENTATION ARE PROVIDED 'AS IS' WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE. MICROCHIP AND ITS LICENSORS ASSUME NO RESPONSIBILITY FOR THE ACCURACY, RELIABILITY OR APPLICATION OF THE SOFTWARE OR DOCUMENTATION. MICROCHIP AND ITS LICENSORS DO NOT WARRANT THAT THE SOFTWARE WILL MEET REQUIREMENTS OF LICENSEE OR THIRD PARTY, BE UNINTERRUPTED OR ERROR-FREE. MICROCHIP AND ITS LICENSORS HAVE NO OBLIGATION TO CORRECT ANY DEFECTS IN THE SOFTWARE. 11. Limited Liability. IN NO EVENT WILL MICROCHIP OR ITS LICENSORS BE LIABLE OR OBLIGATED UNDER ANY LEGAL OR EQUITABLE THEORY FOR ANY DIRECT OR INDIRECT DAMAGES OR EXPENSES INCLUDING BUT NOT LIMITED TO INCIDENTAL, SPECIAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR LOST DATA, COST OF PROCUREMENT OF SUBSTITUTE GOODS, TECHNOLOGY, SERVICES, OR ANY CLAIMS BY THIRD PARTIES (INCLUDING BUT NOT LIMITED TO ANY DEFENSE THEREOF), OR OTHER SIMILAR COSTS. The aggregate and cumulative liability of Microchip and its licensors for damages hereunder will in no event exceed $1000 or the amount Licensee paid Microchip for the Software and Documentation, whichever is greater. Licensee acknowledges that the foregoing limitations are reasonable and an essential part of this Agreement. 12. General. THIS AGREEMENT WILL BE GOVERNED BY AND CONSTRUED UNDER THE LAWS OF THE STATE OF ARIZONA AND THE UNITED STATES WITHOUT REGARD TO CONFLICTS OF LAWS PROVISIONS. Licensee agrees that any disputes arising out of or related to this Agreement, Software or Documentation will be brought in the courts of the State of Arizona. This Agreement will constitute the entire agreement between the parties with respect to the subject matter hereof. It will not be modified except by a written agreement signed by an authorized representative of the Microchip. If any provision of this Agreement will be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. No waiver of any breach of any provision of this Agreement will constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver will be effective unless made in writing and signed by an authorized representative of the waiving party. Licensee agrees to comply with all export laws and restrictions and regulations of the Department of Commerce or other United States or foreign agency or authority. The indemnities, obligations of confidentiality, and limitations on liability described herein, and any right of action for breach of this Agreement prior to termination, will survive any termination of this Agreement. Any prohibited assignment will be null and void. Use, duplication or disclosure by the United States Government is subject to restrictions set forth in subparagraphs (a) through (d) of the Commercial Computer-Restricted Rights clause of FAR 52.227-19 when applicable, or in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, and in similar clauses in the NASA FAR Supplement.
